Michael Maloney is a solution-focused real estate attorney, negotiator, problem solver, and deal maker who is known for his unique ability to find common ground between competing interests and successfully negotiate/close deals.

Mr. Maloney’s practice areas include: business organization formation (LLCs, LLPs, or corporations) and governance (articles, bylaws, resolutions, and operating/shareholder agreements); estate/succession planning (trusts, wills, and related estate/succession planning documents for individuals and business organizations); land-use regulation (entitlements/permits/CEQA compliance, subdivision plan approvals, conditional use, variance, and zoning approvals, easement agreements, and code enforcement/compliance matters; real estate transactions (all major real estate asset classes) including purchase/sale agreements, 1031 exchanges, due diligence analysis and review, survey/title analysis and review, financing (loan documents and closings), leases (commercial, residential, and ground leases), construction (land subdivisions, buildings, and TI work), joint ventures, syndications, and TIC agreements.

Mr. Maloney also has Big Law (Vault 100) and General Counsel (multi-state real estate development/investment company) experience. Mr. Maloney is also a former Senior Vice President with Lincoln Property Company and Oxford Development Enterprises, Inc. (national, multi-asset class, real estate development and investment companies).

Representative Matters

  • Co-negotiated and closed approximately $70 million of commercial/retail real estate purchase/sale transactions and multiple commercial/retail leasing transactions on behalf of a multi-state real estate company in one calendar year.
  • Negotiated an increase in the scale of a 163,200 S.F. industrial distribution center with the ACOE on behalf of a state-wide developer which increased the project’s market value by approximately $900,000.00. Subsequently secured permits and other entitlements for the project’s construction which included a waiver, by FEMA, of a costly ($50,000.00 +/-) flood plain study; negotiated a waiver by a local municipality of a costly tree survey and arbor permit which saved the developer tens of thousands of dollars; and negotiated a 50/50 cost sharing agreement with a local utility company to construct an eight-inch water line over a significant distance for a cost savings to the developer of approximately $70,000.00.
  • Concurrently and within approximately 12 months, assembled, entitled, subdivided, financed, and closed on a 50-acre office and industrial park; an 18-acre industrial tract; and a 21-acre suburban office park which was approved for 240,000 S.F. of Class A office space. Also, permitted, financed, and completed approximately 200,000 S.F. of Class A industrial distribution center space within approximately 12 months.
  • Negotiated the financial participation of a municipality with respect to the construction of infra-structure improvements for a 500-acre mixed-use project on behalf of a large-scale national developer. The municipality’s projected financial contribution was valued at approximately $20 million.
  • Co-negotiated a complex development agreement with a municipality which enabled a multi-national developer to proceed with the construction of a 300,000 S.F. Class A office building which had been delayed by a local building moratorium.
  • Secured the exclusive right to redevelop two city blocks in two major downtown cities on behalf of a multi-national developer.
  • Negotiated, documented, and closed millions of dollars of commercial leases for tenancies involving office buildings, industrial buildings, and retail properties.
  • Negotiated, documented, and closed the acquisition, development, and sale of hundreds of millions of dollars of investment grade commercial properties.
  • Successfully co-litigated an appeal from an adverse R.O.W. ruling by a municipal planning and zoning department which enabled the developer to significantly increase the scale of its project by recovering the land area that otherwise would have been taken by the municipality for the R.O.W.
  • Successfully conducted or defended law and motion hearings, injunctions, depositions, discovery, arbitrations/mediations, and settlement negotiations. Successfully Represented clients during trial and appellate court proceedings.

Awards and Accolades

  • Outstanding Industrial Building of the Year Award. Conferred by the Central Florida Chapter of NAIOP for a Big Box warehouse building that Mr. Maloney developed during his tenure with Oxford Development Enterprises, Inc.
